If any element of Powerstar7 Services is hosted on a third party website (for example, Facebook or any other social network website) and there are separate terms and conditions for the use of that third party website, you agree to comply fully with those terms and conditions.
Sharing Information with Us

For us, privacy is a very serious matter and we always operate in accordance with applicable data protection laws. You acknowledge that any personally identifiable information you submit to or through Powerstar7 Services may be used by us in accordance with our privacy policy. You agree to ensure that any personally identifiable information you provide to us is truthful and up-to-date and that you have obtained all necessary permissions, licenses or approvals for us to use that information in accordance with these Terms and our privacy policy.
If Powerstar7 Services permit you to post, upload, transmit or otherwise make available any information, images, video or other data with Powerstar7 or other Powerstar7 users ("User Content"), you agree that:

a) you are entirely responsible for the User Content that you upload and represent and agree not to share content for which you do not have the proper authorization or right to share and for which you cannot guarantee the license referred to in paragraph (b) below;

b) although all intellectual property rights in any User Content are held by you or your licensors, you represent that you grant Powerstar7 and its group of companies a non-exclusive, permanent, royalty-free, worldwide, transferable and sub licensable right to use, electronically reproduce or otherwise display, distribute, modify, adapt, publish, translate and create derivative works of any User Content (except personally identifiable information), including for the purposes of advertising and marketing the Powerstar7 Services.

c) we are not obligated to store, retain, publish or make available any User Content that you upload and that you are responsible for creating backup copies of any User Content if necessary.
If you provide us with suggestions, comments, improvements, ideas or other opinions ("Feedback"), you represent that you own all intellectual property rights in such feedback and acknowledges that we may use and share this Feedback for any purpose at our discretion. Unless otherwise defined in these Terms, all intellectual property rights that include, but are not limited to, copyright (including computer software copyright), patents, trademarks or trade names, design rights, database rights, know-how, trade secrets and confidentiality rights in Powerstar7 Services.

We respect other people's intellectual property rights. If you believe that your copyright is being infringed by any content on Powerstar7 Services, please send written notice of such infringement to the address indicated at the beginning of these Terms, for the attention of our "General Counsel.

Pricing Accuracy and Warranty Notice
Your use of Powerstar7 Services is at your own risk.
Although we use strict "accuracy pricing" policies with all partners who provide data to us, and seek to ensure that the content displayed through the Powerstar7 Services is current and true, we cannot guarantee the reliability or accuracy of such third-party content. We offer the Services as is and expressly disclaim all warranties and conditions, express or implied, including but not limited to the implied warranties of title, non-infringement, merchantability and accuracy, and any implied warranties through commercial use, trading or performance. To the extent permitted by law, we make no representation and do not warrant that the Services outside of Powerstar7 are accurate, complete or current; (b) will always be available; (c) meet your expectations; or (d) are secure and free from errors, failures, defects, viruses or malicious software.

Limitations and exclusions of liability
These Terms define the full scope of Powerstar7's obligations and responsibilities with respect to Powerstar7 Services.
Powerstar7 assumes no responsibility for any agreements it makes with a third party as a result of your use of the Services. If Powerstar7 Services contain links to other websites and resources provided by third parties, those links are provided solely for your information. We have no control over the content of such websites or resources and assume no liability for any damages or losses that may result from your use of them.
You may view advertising material submitted by third parties on Powerstar7 Services. Each individual advertiser assumes full responsibility for the content of their advertising material and Powerstar7 assumes no responsibility for the content of advertising material, including, but not limited to, any error, omission or inaccuracy therein.

To the fullest extent permitted by law, we (together with our officers, directors, employees, representatives, affiliates, suppliers and third parties) assume no liability for (a) any inaccuracies or omissions in the content displayed on or through Powerstar7 Services or (b) any natural disaster, accident, delay or any special, exemplary loss or damage, punitive, indirect, incidental or consequential (including, but not limited to, loss of profits or savings), whether based on contract, tort (including negligence) or direct liability arising out of, as a result of or in connection with your access to, use of, or inability to access or use the Powerstar7 Services and/or the Powerstar7 Platforms or any content provided therein.

Your liability to us
Under these Terms, you shall be liable to us for all actions, claims, proceedings, costs, damages, losses and expenses (including, but not limited to, legal expenses) incurred by us or our group and each of our officers, directors, employees and agents, resulting from or associated with your use of the Powerstar7 Services or your breach of these Terms.

Cancellation
Powerstar7 may, at its sole discretion, immediately terminate any agreement with you under these Terms, at any time and upon notice and/or, if you have an access account, by cancelling your subscription and your access to your account. Powerstar7 may suspend your use of Powerstar7 Services at any time without notice to you, without any liability to you.

General Provisions
Recognizes that your unauthorized use of the Powerstar7 Services may result in irreversible damages and losses to Powerstar7 or its affiliates or licensors, for which financial loss would be inappropriate. Accordingly, in the event of such unauthorized use, we and our affiliates or licensors (as applicable) have the right, in addition to other available legal remedies, to bring an immediate injunctive action against you prohibiting any use of the Powerstar7 Services.

The invalidity of or breach of any of these Terms (in whole or in part) will not affect the validity and enforceability of the remaining provisions (in whole or in part). The whole or any part of any provision which is found void or invalid by a court of competent jurisdiction shall be deemed deleted from these Terms.

These Terms are personal to you. You are not entitled to assign these Terms, in whole or in part, to any third party without prior written permission.
These Terms represent the entire agreement between you and us and supersede and supersede all of the terms, conditions, agreements and covenants regarding your use of the Powerstar7 Services.

We will act immediately if there is evidence of any User Content that violates these Terms. If you know or suspect any illegal acts, or if you know or suspect that your work has been infringed, please notify us at the address provided below, for the attention of our "General Counsel".
Any failure on our part to enforce any of these Terms will not constitute a waiver of these Terms, nor the right to enforce any of these Terms.
A person who is not a party to these Terms is not entitled to enforce any provision of these Terms.
Regardless of the country from which you access or use the Powerstar7 Services, to the extent permitted by law, these Terms and your use of the Powerstar7 Services are governed by the laws, and you are deemed to submit to the non-exclusive jurisdiction of the courts for the resolution of any disputes that may arise.
